Protection Rights and Usage Extent

The program package contains data processing programs and the appertaining program descriptions. They are called "works" in the following.logi.cals or third parties have protection rights of these works. If the rights belong to third parties, logi.cals has corresponding rights of use. logi.cals allows usage to the licensee under the following conditions:

1. Usage Extent

   1. The works may be installed on any number of workstations. However, at any given time, it may be run only as many times as licenses have been obtained.

   2. If the programs are modified, merged or included with other programs, they may also be used only on one computer.

   3. The unchanged, modified or merged programs may be copied in machine-readable or printed form, if the copy serves for data backup or for modifying the works. Item 1a is also valid for copies.

   4. Further usage is not allowed.

2. Copyright Note
   Each program contains a copyright note. This note must be integrated in each copy, each modification and each part of the program which is merged with other programs.

3. Transfer Restrictions
   The licensee may transfer his/her license to a third party within the extent and within the restricted conditions arising from items 1 and 2. These conditions must particularly be pointed out to the third party. Transfer as a part of a permanent contractual obligation (e.g. rent, leasing) is not allowed.
   The transfer extinguishes all usage rights of the transferor, in fact of copies, modifications and merged parts. If these are not transferred to the third party, they must be destroyed.

4. Export of the Program Package
   When exporting the program package the licensee must observe the Austrian or other export conditions and the import rules of the licensee's country.

5. Guarantee and Liability Restrictions:
   Licensing of this software is done without defect warranty. Faulty enclosed material or defective data media are exchanged free of cost if they are submitted within 90 days after purchase date.
   These guarantees are given instead of any other guarantees of any kind (explicitly or implicitly) including the guarantees concerning use and suitability of the software for a certain purpose. logi.cals is not responsible for consequential damages; belonging to them are among others damages for loss of business profits or other financial losses as well as other consequential damages resulting from usage of this logi.cals product and/or from the inability to use this product. This is also valid if logi.cals or an authorized logi.cals agent has been informed about the possibility of such damage.
   In some jurisdictions the utilization of guarantee and liability restrictions for direct damages and consequential damages is against the legal regulations; in other ones there are special consumer protection laws instead of the above named restrictions. Consequently the above guarantee and liability restrictions do not apply to you.
   The liability of logi.cals for all claims for any legal title whatsoever, is the amount of the order and - if this exceeds EUR 100.000,– - limited with EUR 100.000,-.

6. Purchase of the Enhanced Version of a Program Package:
   If the licensee enhances a formerly acquired version of this program package or of a merged program with the program package, he is only authorized to use the enhanced version of the program package. If no other regulation is met with logi.cals, the licensee is obliged to delete and/or destroy the earlier version and its copies, including documentation, modification and merged parts.

8. General terms and conditions of the licensee or third parties:
   General terms and conditions of the licensee or third parties shall not become subject matter of the agreement; this shall also apply if the licensor does not expressly disagree with them. Inclusions of the general terms and conditions of the licensee of third parties by conclusive action are excluded, in particular, general terms and conditions of the licensee shall not become subject matter of this contract by the acceptance of supplies or services as well as payment.

9. Final Provisions:
   Any modifications and additions to this license agreement need to be in writing. This shall also apply to the suspension, amendment or waiver of this written form requirement.
   This license agreement is governed by and enforceable under the law of the Republic of Austria to the exclusion of any conflict of law rules and the CISG. The place of jurisdiction is the Commercial Court of Vienna.
   In addition, the General Terms and Conditions of Business and Delivery shall be applicable in their respective current status. In case of objections, the provisions of this license agreement shall prevail.

10. Severability Clause:
    Should one provision of this contract be or become invalid, or should the contract contain a gap, the validity of the remaining provision shall remain unaffected. In place of the ineffective provisions, or in order to fill the gap, a provision shall apply which, in so far as legally viable, approaches the original intention of the contractual parties as closely as possible, or what can be assumed to have been their intention if they had considered the point in questions.

The above conditions overrule other conditions possibly contained in this program package, referring to the license agreement for logi.cals license programs.
